Terms of Service
Last updated: 17 June 2026 Effective date: 17 June 2026
These Terms of Service (the "Terms") form a binding agreement between you and Wize Tech Pte Ltd, a private limited company incorporated in the Republic of Singapore (ACRA), operating the Guruvice platform ("Guruvice", "we", "us", "our"). The Terms govern your access to and use of our mobile applications, web services, AI assistant (delivered via Telegram), and related services (collectively, the "Services").
By accessing, creating an account on, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

- "User": any person who uses the Services in any capacity (including Gurus, Learners, and visitors)

2. Eligibility and Account Registration
2.1 Age Requirement
You must be at least eighteen (18) years of age to create an account or use the Services. By creating an account, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms.
2.2 Account Registration
To use most features of the Services you must register an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your information to keep it accurate
- Maintain the security of your account credentials (including not sharing your password with anyone)
- Be responsible for all activity that occurs under your account
- Notify us promptly at contact@guruvice.com of any actual or suspected unauthorised access to your account
2.3 Verification (Gurus)
Gurus may be required to complete identity, qualification, and background verification before being able to offer paid services. We reserve the right to require additional verification at any time and to limit, suspend, or remove a Guru's profile if verification fails or if any submitted information is inaccurate or misleading.
2.4 One Person, One Account
You may not maintain more than one account, transfer your account to anyone else, or use the account of another person.
3. The Services
3.1 Nature of Guruvice
Guruvice operates a marketplace that connects independent Gurus with Learners. Guruvice is not the provider of the services offered by Gurus. Gurus are independent third parties; they are not our employees, partners, agents, or representatives. Guruvice is not a party to the agreements between Gurus and Learners regarding session content, instruction, advice, or outcomes.
3.2 Our Role
We provide the platform, payment escrow, session delivery infrastructure, and dispute support, but the Guru is solely responsible for the lawful, professional, and competent conduct of their services. Learners are solely responsible for assessing whether a particular Guru is suitable for their needs and for their own conduct during sessions.
3.3 Service Availability
We strive to keep the Services available 24/7, but we make no guarantee of uninterrupted availability. The Services may be unavailable for planned maintenance, due to factors beyond our control, or for other reasons. We will give reasonable advance notice of planned maintenance where practical.
4. Sessions
4.1 Booking and Confirmation
Learners may browse available Gurus and book Sessions through the Services. A Session is confirmed when payment is captured (or, for prepaid Packages, when the booking is created and a Package credit is consumed). The Guru is then committed to deliver the Session at the booked time.
4.2 Joining
Sessions are delivered through our in-app real-time audio/video infrastructure (Agora.io). Both parties are expected to:
- Join at the booked start time
- Use a stable internet connection and a quiet, appropriate environment
- Conduct themselves professionally and courteously
4.3 Late Arrivals
If a participant does not join within ten (10) minutes of the booked start time without prior notice, the other party may end the Session. The Demerit Point System (Section 11) may apply to no-shows and persistent lateness.
4.4 Cancellation and No-Shows (Learner)
Learners may cancel a 1:1 Session free of charge up to 12 hours before the Session start; the card hold is released in full. Within 12 hours of the start, cancellation is not available — the Session is committed.
A no-show is subject to the ten (10) minute grace period in Section 4.3:
- If the Learner does not join but the Guru does: 50% of the Session price is charged and 50% is released to the Learner
- If the Guru does not join: the Learner is fully refunded
- If neither party joins: there is no charge
4.5 Cancellation by the Guru
If a Guru cancels a Session for any reason other than a documented emergency:
- The Learner receives a full refund (or, for Package-booked Sessions, the credit is returned)
- The Guru's account may incur demerit points (Section 11)
If the Guru cancels for a documented emergency (illness, family emergency, or similar) and offers a reschedule that the Learner accepts, no demerit points apply.
4.6 Rescheduling
Either party may propose a rescheduling. A rescheduling is effective only when the other party accepts. Unaccepted rescheduling proposals do not change the original booking time.
4.7 Recording
By default, Sessions are not recorded. If a Session is recorded, all participants must consent before recording begins. Recordings (where they exist) are stored encrypted and are accessible only to the participants and to our authorised personnel for safety and quality-assurance purposes.
5. Instant Sessions
5.1 What Are Instant Sessions
Instant Sessions allow a Learner to request a live Session from a specific currently-available Guru without pre-booking, typically for urgent or ad-hoc consultation. The request goes to that Guru only; it is not re-offered to other Gurus.
5.2 Guru Availability
Gurus opt into Instant Session availability through their settings. While "Instant On", they are committing to be available to accept incoming requests within a short window.
5.3 Accept and Join Windows
A Guru has 2 minutes to accept an incoming Instant Session request. Once accepted, both parties have 5 minutes to join. To prevent unanswered requests from harming Learners' experience:
- If the Guru does not accept within the 2-minute window, the request times out with a full refund (it is not re-offered to another Guru)
- The Guru's "Ready for Instant" availability auto-turns-off after a configurable number of consecutive declines, when the daily limit is reached, or after a period of inactivity
- Consistent missed Instant requests may trigger demerit points (Section 11)
5.4 Cancellation and Refunds
Once an Instant Session is accepted, neither party can cancel — if someone cannot make it, the 5-minute join window simply closes. Outcomes are:
- Guru accepts but does not join within 5 minutes: full refund to the Learner + 3 demerit points to the Guru
- Guru declines or times out: full refund; no charge
- Learner does not join but the Guru does: 50% of the rate is charged, 50% refunded; the Learner receives 1 demerit point
- Neither party joins: no charge, no demerits
6. Webinars
6.1 What Are Webinars
Webinars are one-to-many live broadcasts hosted by Gurus, with Learners attending as participants. Webinars may be free or paid.
6.2 Minimum and Maximum Attendees
A Guru may set a minimum attendee count for the Webinar to proceed (typically to ensure the event is viable) and a maximum attendee count. If the minimum is not met by a configured time before the start:
- The Webinar may be auto-cancelled
- All paid registrants receive full refunds
6.3 Webinar Cancellation
Webinar registrations cannot be cancelled by the Learner once booked — this gives the host a confirmed headcount. A Learner is refunded only if:
- The Webinar is auto-cancelled for not meeting the minimum number of attendees (Section 6.2), or
- The Webinar is cancelled by the Guru — all registrants receive a full refund, and demerit points may apply to the Guru
A Guru no-show on a confirmed Webinar fully refunds all registrants (and incurs demerit points). A registered Learner who does not attend forfeits the seat (no refund).
6.4 Recording Distribution
Where a Webinar is recorded (with consent of the host), the recording may be made available to paid registrants after the live event. Distribution beyond paid registrants requires the host Guru's explicit permission.
7. Promotional Webinars
A Guru may host Promotional Webinars: free webinars used to introduce new Learners to the Guru's expertise and offerings. Promotional Webinars are subject to additional rules:
- They must be genuinely informational and not a sales pitch in disguise
- Hard-sell techniques, high-pressure tactics, or misleading claims are prohibited
- The Guru's normal Cancellation and Conduct rules apply
We reserve the right to limit the frequency of Promotional Webinars a Guru may host and to remove Promotional Webinar privileges from Gurus who abuse the feature.
8. Packages
8.1 What Are Packages
A Package is a pre-purchased set of Sessions with a specific Guru, typically offered at a discount to single-Session pricing.
8.2 Payment and Validity
The Learner pays the full Package price upfront. Funds are held in escrow and released to the Guru session-by-session as each Session is completed; each Session consumes one credit from the Package.
Packages have a validity period set by the Guru. Unused credits expire at the end of the validity period — but, on expiry, each unused credit is refunded (see Section 8.3).
8.3 Package Refunds
- Before any Session has been consumed: full refund within 7 days of purchase
- Cancelling a single upcoming Session (more than 12 hours before): the credit is returned to the Package to re-book — it is not refunded as cash
- On expiry with unused credits: each unused credit is refunded at the Package's own per-Session price (Package total ÷ number of Sessions), not the standalone single-Session price
8.4 Package Extensions
A Guru may, at their discretion, grant a Package validity extension. In addition, the platform automatically extends a Package's validity when a Guru misses or cancels a Session, so lost time is not taken from the Learner.
9. Payments and Payouts
9.1 Payment by Learners
Payment for Sessions, Webinars, and Packages is taken at the time of booking (or, for Packages, at the time of purchase). We currently process card payments via Stripe. We may add additional payment methods over time, including Apple Pay, Google Pay, PayNow (Singapore), UPI (India), and other regionally relevant payment rails. Each method is subject to that provider's own terms and conditions.
9.2 Currency and Exchange
Supported currencies are Singapore Dollar (SGD), Indian Rupee (INR), US Dollar (USD) and British Pound (GBP). Learners are charged in their own local currency.
For cross-currency bookings, Guruvice performs the conversion using Wise exchange rates plus a 2% buffer to cover rate movement between checkout and settlement. The rate used is shown before you pay. Conversion is not left to your card issuer.
9.3 Fees
Learners see the total before paying. On top of the Guru's price, a service fee applies:
- Same-currency bookings: 1.6% platform fee + 3.4% payment processing, plus a small fixed fee
- Cross-currency bookings: 2.5% platform fee + 4.5% processing & conversion, plus a small fixed fee
The fixed fee varies by currency (e.g. S$0.50 / $0.30 / £0.20 / ₹3.00).
Gurus are paid their set price less a platform commission of 5% (1:1 Sessions, Instant Sessions and Packages) or 9% (Webinars). The platform fee covers session delivery infrastructure, customer support, trust and safety operations, and ongoing platform development.
9.4 Payment Processor Fees
Payment-processing fees are covered by the service fee the Learner pays at checkout and are not separately deducted from the Guru's payout.
9.5 Payouts to Gurus
Earnings from a completed Session or Webinar become payout-eligible after a 4-day window (so any refunds can settle first). Once a Guru's available balance reaches the per-currency minimum (S$100 / ₹3,000 / $100 / £100), the Guru may request a payout, which Guruvice reviews and approves, then sends via Wise Payments Ltd — using local rails such as PayNow in Singapore and UPI in India, and bank transfer elsewhere. The Wise transfer fee is absorbed by Guruvice — the Guru receives their full net earnings.
You are responsible for providing accurate payout details and for ensuring you are authorised to receive payments in the manner specified. We are not responsible for losses arising from incorrect payout information.
9.6 Refunds
Refunds are processed through the original payment method where possible, and typically appear on your statement within 5-10 business days, subject to your bank's processing times.
9.7 Taxes
You are responsible for any taxes (including income tax, goods and services tax / value-added tax, and any withholding) that apply to your activity on the Services. We may collect tax information and may withhold or remit taxes where required by law. We provide records of your transactions to support your tax compliance.
10. Content and Conduct
10.1 Your Content
You retain ownership of the content you create on or upload to the Services (such as your profile, bio, messages, reviews, and session materials). By posting Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and use the Content as necessary to operate and improve the Services and to enforce our Terms.
10.2 Permitted Use

- Be your own or used with the owner's permission
- Be accurate (especially Guru qualifications, credentials, and bio)

- Comply with the Acceptable Use rules in Section 10.4
10.3 Reviews
Reviews must be honest, based on first-hand experience, and free of personal attacks. We may remove reviews that violate these rules, contain personal information, or appear to be fake or incentivised.

10.5 Reporting
If you witness or are subjected to any violation of these rules, please report it via the in-app reporting feature or contact us at contact@guruvice.com. We take all reports seriously and investigate promptly.
11. Demerit Point System
To maintain the quality and reliability of the Services, we operate a Demerit Point System for Gurus. Demerit points are issued for behaviours that harm Learners or the platform, including:
- Last-minute cancellations without documented emergency
- No-shows for Sessions or Webinars
- Excessive Instant Session missed-acceptances
- Substantiated reports of unprofessional conduct
- Substantiated reports of misleading credentials
- Other behaviours we identify and notify Gurus of in advance
11.1 Tiers
| Tier | Trigger | Consequence |
|---|---|---|
| Good Standing | Default state | All platform features available |
| Warning | Initial demerit threshold | Email notification with guidance on improvement; full features remain |
| At Risk | Higher demerit threshold | Reduced visibility in search results; restricted access to promotional features |
| Suspended | Highest demerit threshold | Account temporarily suspended; existing bookings honoured where possible, no new bookings accepted; reinstatement subject to review |
Specific thresholds and timeframes are published in the in-app Guru handbook and may be updated from time to time.
11.2 Appeals
A Guru who believes a demerit point was issued in error may appeal at appeals@guruvice.com (or via the in-app appeal flow). Appeals are reviewed by our Trust and Safety team. Decisions are final and at our discretion, but we commit to handling appeals in good faith and on the basis of evidence.
11.3 Demerit Decay
Demerit points decay (drop off) twelve (12) months after they are issued, provided no related new demerit has been issued in the interim.

- We do not store the content of your Google Calendar events; we fetch them live each time we need to compute conflicts and discard them after use
- We do store, encrypted, the OAuth refresh token Google issues to us; this is necessary to read events without prompting you to log in each time

/disconnect_calendarto the Assistant in Telegram, by sending/stop, or by visiting Google Account permissions at myaccount.google.com/permissions

Always treat the in-app calendar as authoritative.
